Design depth is the maximum permissible operating depth per design of the vessel, which will be some factor of safety smaller than the critical, or earliest anticipated failure depth. This is specified by the designer and drives the vessel design.

Operating depth can be equal to the design depth, or shallower, as it is typically the greatest depth within the design depth to which the vessel has been certified (tested in the presence of the surveyor). Operating depth may also be a de-rating of a previously certified depth for various reasons. PSubs obviously don't typically go through all of the certification procedure, but may be tested unmanned, in which case the successful test depth would constitute the operating depth.
